This Transportation Access Plan Agreement (hereinafter “TAPA") is entered into thle
10th day of January, 2020 by and between the CITY OF BOSTON, acting through

Apartments LLC with a principal placo of buslnese ofo Jamaica Plain Neighbarhood
Develapmant Corporation, 31 Germania Street, Jamuica Plain, MA 02120 (hereinafter
“JPNDC Owner Entity"), and 250 Centre Street Housing LLC with a principal place of
tusiness at The Community Builders Inc., 185 Dartmouth Street, Suite 990, Boston. MA
02116 {heralnater “TCB Owner Entity”, and together with Master Developer and JPNDC
Owner Entity “Beveloper")
WHEREAS, the Developer has comp eted the review proness required by Article 80 of
the Boston Zoning Cod thersinatter “Anicle 80 Review’), which review process contains a
‘Transportation Component. {see Seton 808-3 (#)) and
WHEREAS, the Developer acknowledges that the construction and operation of the
evelopment wil impact the transportation nebvork within the Cty of Boston; and
WHEREAS, BTD and the Dovcloper desi to miligale such transportation impacts
through 2 Constniction Management Pian (hereinafter *CMP"), ane a Transportation
han Agreement (hereinafter "TAPA),
Now, drerefore. in consideration thereet, the folowing is agreed betwaen BTD and the
Developer (hers nafter Parties")
A. “Access Plan” shall mean the Transportation Seetlons af the Project Notification Harm,
Draft Project impact Report, Final Project Impact Report and any supriemental infarnation
as developed thrcugh he Article 80 Review process,
B. “Adticle 80 Review” shall mean the Cty of Bosten Development raview requrements,

“BTD" shall mean the Ciy of Boston Traneporiation Dapartmant, with offices at One City

“CMP” shall mean the Construction Management Plan,
“Development” shall mean the Developmani ciscussed ir this TAPA and summarized in
Section 2 A,
“Developer” stall msan the Developer deserited above.
“ISD” shall mean the City of Boston Inepestional Services Deparment with offices at 1010,
Maseachusetis Avenue, Boston, Massachusetts, 02178, fs successors ard assigns.
“PIC” shall mean the Public Improvemsnl Commission of the City of Boston wh offices at

assigns.

"PWD" shall mean the Pubic Works Department of the City of Basten with offices at One

Jackson Square Site Ill, Phase 3 (the *Prcjcct” anc the “Site”; wil invalve tha phased
redevelopment of an approximate 2.2-acre vacant sie to include the construction of two
@) new residential buildings and supporting roedway, sidewalks, and green space. The
Project will total approximately 153,000 square feet (ofp to include about 154 new
residential units, 1,900 sf of ground floor neighborhood retal and 78 parking spaces

connecting Amary Street ta the future Alliance Way. Alianae Way. a north-south

It fs understood and greed that each of JPNDG Owner Entty and TCE Owner
Entity is responsible only for the portion of the obligations under this TAPA

ether of JPNDC Ouner Entity or TCE Omer Entity. shall have no labilty

Section $. Terms and Conditions
A. Defaults and Remadios
In the event rat the Developer shal fail to comply with ar shall breach any provisions af
this TAPA, ard such failure or breach shall sontinue for 60 days after writen notice thereat rem
BTD, BTD may institute any such anions and proceed ngs as BTD may deem appropriate,
including but not Tinted to actions: to compel snetitc pertormance: andor to calleet any and all
camages, expenses, losses and costs caused by euch allure or breach, including legal
expenses.
8. Records and Reporte,

limes for inspect on. copyiig, audit andi examination by BTD, ane shall provide BTD with an

This TAPA shal not be ecorded with the Registry of Deeds, owever, the Developer
agrees, upon the request 0° DTD, te racerd a Netice of this Agreement with the Registry of
Deeds. Any such notice shall expressly slate that itis executed gu'suant to the provisions
contained in this TAPA and it Ip nol intended fo vary the terms and condllions of this
Agreernert.
©. Assumption of Liability
‘The Developer shell assume the defense of BTD. its officers, agents, andlor employees,
and hold :1em harmless from all suits snd claims against them or any of them, arising fram any
act or omission of the Developer, ils ayonls o: employees in any way connected with
parformance under this Agreement.
D. Assignment
‘The Developer may assign its interest in this TAPA. ul only subjesr to and éy complying with
