“Motion”): (1) to approve a second distribution (the “Second Distribution”) under the Debtors’

11 First Amended Chapter 11 Liquidating Plan of Reorganization (the “Plan”) that was previously

confirmed by an order of the Court, (2) to abandon and destroy business documents and

electronically stored information (the “Documents”), and (3) for entry of final decrees closing the

Debtors’ chapter 11 cases.

PLEASE TAKE FURTHER NOTICE that allowed secured, administrative, and priority

claims were paid in full as soon as practicable after the effective date of the Plan. The Plan

88 provides that the holders of class 4 allowed general unsecured claims would receive a distribution
99 of 10% of the amount of their class 4 allowed claims before class 4 claimants and the class 5

allowed senior lender deficiency claim would share in distributions pro rata. On August 15, 2012,

pursuant to the terms of the Plan, Matthew Pakkala, Nelson’s predecessor, filed a motion (the

“First Distribution Motion”) for the approval of a proposed first interim distribution (the “First
1133
Distribution”) under the Plan seeking to distribute $6 million to the holders of class 4 and class 5
1144
allowed claims, other than class 4 general unsecured claimants that were subject to pending
1155
1166 avoidance actions (the “Avoidance Action Claimants”), whose distributions were reserved. The
1177 Court granted the First Distribution Motion and the First Distribution was made, which resulted in
1188
a distribution of approximately 34% to holders of class 4 allowed general unsecured claims and a
1199
distribution of approximately 27% to the holder of the class 5 allowed senior lender deficiency
2200
claim. After the First Distribution was made, plaintiffs in a state court tort action against
2211
Westcliff and others asserted a claim against the estate (the “Tort Claimants”). The Tort
2222
2233 Claimants’ claim was later resolved. Once underlying avoidance actions and Tort Claimants’
2244 claim were resolved, distributions that were reserved for Avoidance Action Claimants and the

Tort Claimants were released as appropriate.

distribution schedule (the “Distribution Schedule”) indicating, among other things, (1) the name

claims who were sent their First Distribution or other distribution but did not cash their First

Distribution or other distribution check, and (6) the amount of the Second Distribution to be made

pursuant to the Motion, which, in certain instances, may include the First Distribution amount for

88 claimants that did not cash their First Distribution checks. As can be seen, in addition to the
99 approximately 34% distribution made to holders of class 4 allowed claims and the approximately

27% distribution made to the holder of the Class 5 allowed claim, the holders of those claims will

receive an additional distribution of approximately 4.2% for a total of approximately 38.2% and

31.2%, respectively, which is a substantial improvement over the estimated distributions of 35.7%

and 28.6%, respectively, under the Plan. This amount may increase or decrease based on the

ultimate amount of (1) professional fees and expenses, (2) final payments of quarterly fees to the

1166 United States Trustee, (3) costs paid for the copying and postage expenses related to the Motion,
1177 and (4) unclaimed funds resulting from claimants not cashing distribution checks within the 60-

day period provided for under the Plan. As provided in the Plan, (1) if unclaimed funds equal or

exceed $10,000, they will be redistributed to general unsecured creditors with allowed claims

(other than those who failed to cash their distribution checks), but (2) if unclaimed funds are less

than $10,000, they will be paid to the Clerk of the Bankruptcy Court.

11 Court for the County of Orange (the “Schobert Action”),1 and Nelson is preparing to make a

Second Distribution to creditors, which may be followed by a final distribution if, after the 60-day

period to cash checks, there is $10,000 or more of funds on hand. Accordingly, the Documents
44
are no longer needed, and Nelson wants to abandon and destroy the Documents. It is in the
55
estates’ interest that Nelson have the Documents properly destroyed so as to prevent any
66
personally identifiable information, as defined in 11 U.S.C. § 101(41A), from being made public.

88 In consideration of the foregoing, Nelson submits that the Documents are burdensome and of
99 inconsequential value and benefit to the estates such that there is good cause for abandonment and

destruction of the Documents under 11 U.S.C. §§ 105(a) and 554(a). The Documents to be

abandoned and destroyed shall be limited to any Documents maintained by third-party providers2

and shall exclude documents and other information held by (1) LabWest, the entity that purchased

the Debtors’ assets, which would include any documents related to the Schobert Action, and (2)

Nelson and her counsel related to the Debtors’ bankruptcy cases themselves and performance

the Schobert Action was filed without obtaining relief from, and in violation of, the automatic stay and is void ab
2266 initio. Despite the foregoing, the Schobert Action is still pending. Notwithstanding being put on notice regarding
these bankruptcy cases over 8 months ago, Schobert did not file a motion for leave to file a late proof of claim or
2277 any proof of claim against the Debtors. The Debtors, therefore, believe that Schobert has no claims against these
estates, yet provided notice to Schobert’s counsel out of an abundance of caution.
