Statement of Board Responsibilities

GENERAL GUIDELINES
When you arrive, select your name tent from the box. Place the name tent in front of your position around
the table and make sure that it is in view of the President and Secretary. If the name tent does not stay
standing, fold over one of the comers at the top of the tent. At the end of the meeting, return your name
tent to the box under the correct section of the alphabet.

Purpose: To help keep the Board focused and on task

COMMITTEE REPORTS FOR MINUTES AND MEETING
If you are a committee chair or team chair, prepare the agenda for the committee prior to board meeting
using Board Template. Give a copy of the agenda to the secretary prior to the board meeting being called to
order. Having the agenda helps the secretary keep an accurate record of the association's activities and
decisions. A written report of the committee's actions may be given to secretary at end of meeting or no
less than seven days after meeting.

MOTIONS
When a motion is presented to the board, the secretary will ask the individual presenting the motion to write
the motion on a motion card. This provides a record of the exact language of a motion and allows the
motion to be reiterated to the board members without alteration (other than approved amendments).

As a member of an initiative team, everyone plays an important role by participating in these meetings.

(cid:131) Bylaws stipulate how we make decisions. We use consent agendas along with Roberts Rules of Order.
(cid:131) Some decisions will be made in committees/Initiative Teams therefore; these votes will not need a

(cid:131) Standing Rules are the guidelines used to manage our association.
(cid:131) Standing Rules delineate the how, what, whom, deadlines, etc.
(cid:131) Copy of the standing rules is in the Leadership Directory

OPINIONS/BUDGET/FINANCIAL
(cid:131) What we need and must have is consensus so that we can move our plan of work forward. We are all
given permission to disagree without being disagreeable.
(cid:131) Requests are submitted at the allotted budget time. The Executive Board of Directors (BOD) writes
the budget based upon the requests and current financial situation
(cid:131) If you need reimbursement, you must fill out an expense report
(cid:131) Promptly report all expenditures. All requests for reimbursement must be made within 45 days or
prior to May 31, 2015, whichever is sooner.
(cid:131) Be responsible with your allotted budget dollars and account for every expenditure
(cid:131) Read and understand the Indiana Academy financial statements and help the board fulfill its fiduciary
responsibilities

RESPONSIBILITIES
(cid:131) Attend the meetings, be punctual and participate
(cid:131) Sign a conflict of interest form that identifies all possible conflicts
(cid:131) We start on time and end on time. If we need to go over our allotted time frame, the president will
ask your permission to exceed the time frame
(cid:131) Review your email regularly as most items will be forwarded to you via email
(cid:131) Respond to your email according to the time frames set forth in the email
(cid:131) Review the board packet prior to the meeting and be prepared prior to the meeting
(cid:131) Board members are expected to work on behalf of Indiana Academy outside of the Board of
Directors (BOD) Meetings
(cid:131) Keep your own stock of Indiana Academy stationary and/or use the template. You may request
template from Executive Director
(cid:131) Stay abreast of the profession and think "out of the box"
(cid:131) Conduct your own self-evaluation.
(cid:131) Complete the BOD Meeting evaluation after each meeting
(cid:131) Serve as your own Nominating Committee and always be on the "lookout" for new members to serve
on the board
(cid:131) Leave the Indiana Academy organization better than you found it
(cid:131) Get to know as many people as you can, maintain your objectivity, always bring your sense of humor
and good will and have fun!
(cid:131) Enhance the public standing of the Indiana Academy of Nutrition and Dietetics
